By-Laws of Richmond REBOS Inc.

Article I

The name of this non-stock corporation is RICHMOND REBOS, Inc. hereafter referred to as "REBOS"

The office of REBOS shall be located at 6000 Midlothian Tpk., Richmond, VA 23225

Article II

PURPOSE

  The corporation shall operate exclusively for the charitable and educational purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organization under section 501 (C) (3) of the internal revenue code of 1954 (or the corresponding provision of any future United States Internal Revenue Law),  In connection with the purpose outlined above, the Corporation shall serve as a Benevolent institution for the promotion of sobriety in individuals afflicted with the disease of Alcoholism and Substance Abuse and for the study and dissemination of information about said disease, to acquire and maintain a facility, residence or residences for meeting purposes of twelve step groups and dissemination of information, to do all things and acts necessary to accomplishment of these objectives; and to have all the rights, privileges, powers and immunities by law for similar corporation in the state of Virginia.

Article III

MEMBERSHIP

  Full membership:  Any recovering alcoholic or addict, spouse or family member or special friend of any alcoholic or addict (regardless of race, color, creed, sex or age, etc.) who evidences good faith and intent relative to our purpose and is approved by the Board of Directors (or membership committee appointed by the Board of Directors) shall be considered a voting member in good standing as long as his or her dues are current and all rules are adhered to.

  Associate Member:  Any applicant who evidences good faith and intent relative to our purpose and is approved by the Board of Directors (or other committee referred to above) shall be eligible for associate membership, and shall not be eligible to vote or hold office.

  The Board of Directors is authorized to prescribe the entrance requirements of a prospective member and to further prescribe qualifications which constitute a member in good standing.  Such requirements shall be made known to the members as here in defined.  However, no application for full membership shall be considered until applicant has been continuously sober for thirty days.  Such applicants may enter facilities of REBOS as guest of members.

  All meetings at REBOS are open meetings, everyone is welcome to attend all meetings.

ARTICLE IV

OFFICERS and DIRECTORS

  The officers of REBOS are President, Vice President, Secretary and Treasurer, and shall be elected by the Board of Directors at its organizational meeting and at subsequent annual meetings of the Board of Directors.  Newly elected Directors and Officers shall take office immediately following the annual meeting.

  The Board of Directors shall consist of not less than four (4) and not more than seven (7) elected members, plus the immediate past President and the Executive Director.  The initial Directors shall serve until the first annual meeting of the members of REBOS.  The term of office for the Directors selected at the first annual meeting shall be as follows: two (2) Directors shall be elected for one (1) year; two (2) Directors shall be elected for two years and the remaining Directors shall be elected for three (3) years.  At the expiration of the first elected term of office of each respective Director his/her successor shall be elected to serve a term of three (3) years.   Should a vacancy occur, such vacancy may be filled by appointment via a majority vote of the remaining Directors and Officers meeting in open session.  No Director may be elected and/or appointed for more than two (2) consecutive three (3) year terms.

  Any member of the Board of Directors who is absent from three (3) consecutive meetings of the Board may be removed from the Board.  A two-thirds (2/3) majority vote of the remaining Board members present, and meeting in open session.

ARTICLE V

DUTIES of the OFFICERS and DIRECTORS

A.  Vote on all REBOS business.

DUTIES of the PRESIDENT:

A.  Preside at all meetings of the members of REBOS.

B.  Act as chairperson of the Board of Directors and all committees, except those specifically designated to another officer or committee chairperson.

C.  Have power, with the approval of the Board of Directors, to appoint all special committees.

D.  Be eligible to serve no more than two (2) consecutive terms as President.

E.  The immediate past President shall serve as a member of the Board of Directors following his or her term as President.

F.  With the approval of the Board, sign all contracts or agreements on behalf of REBOS.

G.  Perform all other duties as may be directed by the Board of Directors.

DUTIES of the VICE PRESIDENT:

A.  In the absence of the President, perform all duties of the office of President.

B.  In the event of resignation, disqualification or death of the President, shall immediately call a meeting of the Board of Directors for the election of a successor.

C.  Perform such other duties as the Board of Directors may determine.

DUTIES of the SECRETARY:

A.  Keep all records and minutes of meetings of the members of the Board of Directors, and shall perform all other duties as assigned by the Board.

B.  Conduct all correspondence of REBOS unless otherwise directed by the Board.

DUTIES of the TREASURER:

A.  Keep the accounts and collect and disperse the funds relative to the operation of REBOS.

B.  Deposit and maintain all funds of REBOS at such banks as directed by the Board of Directors and preserve vouchers for all deposits and payments.

C.  Make no payments except by check signed by officers duly authorized by the Board.

D.  Prepare a full financial report monthly.

E.  At the annual meeting, or when requested at a special meeting, submit a detailed report of the financial transactions of REBOS for the preceding year.

F.  Prepare a purposed budget for the January meeting for review and approval by the Board.

ARTICLE VI

DUTIES of BOARD OF DIRECTORS:

A.  Pass upon any of the special committees as submitted by the President or Vice President.

B.  Appraise and approve all contracts and/or agreements prior to the President signing same.

C.  Direct the treasurer to places of banking and inspect and approve vouchers and payments.

D.  Annually, at the first meeting after elections, establish and present a workable budget.

E.  Establish and enforce the rules of conduct for attendance at REBOS.

F.  Meet at least once a month.

G. Any Director who becomes intoxicated shall immediately resign.  Any Director deemed guilty of misconduct which could be considered detrimental to REBOS or it's members may be removed from office by a two-thirds (2/3) majority vote of the remaining Board present and meeting in open session.  The Director who is alleged to have been guilty of such misconduct shall be notified of such allegation and shall be given the opportunity to present statements and evidence of any nature regarding said allegation to the board, meeting in open session and prior to any action for such removal.

H.  Members may recall a member of the Board upon a petition for a special meeting, presented to the President, and signed by not less then one-third (1/3) of the full membership in good standing.  Upon an affirmative vote of two-thirds (2/3) of the eligible voting members present at the meeting, the Director shall be immediately removed.

I.  Generally be responsible for the conduct of business and affairs of REBOS.

ARTICLE VII

ELIGIBILITY and NOMINATIONS:

A.  The nomination committee for the naming candidates for serving on the Board of Directors shall consist of not less than three (3) full members in good standing with the President acting as chairman.  The President shall appoint the nominating committee with the approval of the Board of Directors.

B.  The officers and directors shall be full members in good standing and must have a minimum of one (1) year continuous sobriety.

ARTICLE VIII

ANNUAL and MONTHLY BUSINESS MEETINGS:

A.  The first annual meeting of the members and Directors will be December 9, 1990.  The ensuing regular annual meetings of the members and Board of Directors of REBOS will be held on the second Monday of each December.

B.  Regular business meetings of the Board of Directors will be held on the second Monday.

C.  Special meetings of the members may be called by the President with the concurrence of the Board of Directors.

D.  A special meeting may be called by the membership via a written petition directed to the Board of Directors and signed by not less than thirty-three percent (33%) of the full membership in good standing.

E.  At all meetings a majority of the voting membership present shall constitute a quorum.

F.  The Secretary shall keep a bulletin board in a conspicuous and well known place available for inspection by all members.  Any notice placed on sub bulletin board by the Secretary shall constitute notice to all members, unless the by-laws specifically require written notice.  Nothing shall be posted on this bulletin board without the authority of the secretary.

G.  All procedure regarding any meeting of the members of REBOS and it's Board shall be governed by Roberts Rules of Order.

ARTICLE IX

DISCIPLINARY ACTION and GRIEVANCE:

A.  Any member found guilty of any misconduct whatsoever, or any member who shall violate the by-laws, rules or regulations of REBOS may be disciplined, suspended, or expelled from membership by a two-thirds (2/3) vote of the Directors.  A member who is alleged to have violated the by-laws, rules, or regulations of REBOS or are alleged to be guilty of any misconduct shall be notified of any such allegation(s) to the Board, meeting in open session and prior to any Board action of discipline, suspension or expulsion.

B.  Any member having a grievance against REBOS or any of it's Officers, Directors, or other trusted servants may file such grievance with the Board of Directors.  A committee consisting of two (2) members of REBOS in good standing and one Director as chairman shall be appointed by the Board of Directors to hear any such grievance and shall make recommendations with respect to the disposition thereof to the Board of Directors.

ARTICLE X

ANNUAL DUES

A.  Dues shall be determined by the Board of Directors.

B.  Current dues are $10 monthly - $55 semi-annual - $100 annual.

C.  A member found to be more than two (2) months in arrears shall forfeit their privileges with REBOS.  Any exception must be recommended by the President. and approved by the Board.

D.  Members with special hardship will be given special consideration upon written request.

ARTICLE XI

AMENDMENTS TO BY-LAWS

A.  The by-laws may be amended at any annual meeting of the members by a two-thirds (2/3) majority of all members present and voting.

B.  A special meeting of the members may be called for the amendment of the by-laws upon petition to the President, signed by not less than one-third (1/3) of the full membership, or a majority of the Board of Directors.  A ten (10) day notice of such meeting shall be posted on the secretary's bulletin board, setting forth the specific amendments proposed in the petition.

C.  The by-laws may be amended by a two-thirds (2/3) majority of all members present and voting at such special meeting.

ARTICLE XII

REBOS RULES

Section 1:

  The hours open shall be established by the Board of Directors.  All activities will be restricted to the said established hours.

Section 2:

   The use of alcoholic beverages and/or any illegal drugs shall be prohibited on the REBOS premises.

Section 3:

   Any full member who becomes intoxicated or uses any illegal drug shall automatically be suspended until they have 30 days continuous sobriety.   Such members may use REBOS facilities as a guest of a dues paying full member in good standing.

Section 4:

  Members are subject to such other rules, regulations or disciplinary measures as may, from time to time, be posted.

Section 5:

  Each member is entirely responsible for his or her guest.

Section 6: 

  Obscene or abusive language will not be permitted or tolerated in REBOS.

Section 7:

  No animals will be permitted on REBOS premises (except for medical reasons).

Section 8:

  No firearms, knives, or weapons allowed on REBOS premises.

Section 9:

  Any dispute or question arising over the use of any facility of REBOS shall be resolved immediately by any Director, Officer, or their representative(s).

Section 10:  

  Children in REBOS must be accompanied by a Parent or Guardian at all times.

Section 11:

  No member, associate member, visitor, or guest may sue a member of the Board of Directors or Officers of REBOS, Inc. who is discharging his or her duties in good faith.

ARTICLE XIII

DISPERSMENT of ASSETS

  The assets of Richmond REBOS Inc. shall be appropriated by the Board of Directors and Officers as the majority voting believe best serve the purpose of Richmond REBOS Inc.
